Terms of Service
Please read these terms carefully before using our HRMS platform.

1. Agreement to Terms
By accessing or using the FlexiEle Human Resource Management System (HRMS) platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.
These Terms of Service apply to all users of the platform, including but not limited to administrators, HR personnel, managers, and employees of client organizations.
2. Definitions
- "Platform" refers to the FlexiEle HRMS software, including all modules, features, and services.
- "Client" refers to the organization that has subscribed to FlexiEle services.
- "User" refers to any individual authorized by the Client to access the Platform.
- "Services" refers to all functionalities provided through the Platform including but not limited to recruitment, onboarding, payroll, attendance, performance management, and learning management.
3. Use License
Upon subscribing to our services, FlexiEle grants you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes.
This license does NOT permit you to:
- Modify, copy, or create derivative works of the Platform
- Reverse engineer, decompile, or disassemble any part of the Platform
- Remove any proprietary notices or labels on the Platform
- Transfer the license to another party or use it for commercial resale
- Use the Platform for any unlawful purpose
4. User Responsibilities
As a user of the FlexiEle Platform, you agree to:
Account Security
- Maintain confidentiality of login credentials
- Use strong, unique passwords
- Enable multi-factor authentication when available
- Report unauthorized access immediately
Data Accuracy
- Provide accurate and complete information
- Update records promptly when changes occur
- Verify data before processing payroll
- Maintain proper documentation
5. Service Availability
FlexiEle strives to maintain 99.9% platform uptime. However, we reserve the right to:
- Perform scheduled maintenance with advance notice to clients
- Conduct emergency maintenance without prior notice when necessary for security or stability
- Update, modify, or enhance platform features to improve service quality
Scheduled maintenance is typically performed during off-peak hours (IST 00:00 - 06:00) and clients are notified at least 48 hours in advance.
6. Data Ownership & Intellectual Property
Your Data Remains Yours
All employee data, HR records, and business information entered into the Platform remains the property of the Client organization.
FlexiEle retains all rights to the Platform itself, including its software code, design, user interface, documentation, and all related intellectual property. The FlexiEle name, logo, and branding are trademarks of FlexiEle Consulting Services.
7. Payment Terms
- Subscription fees are billed according to the pricing plan selected by the Client
- Payment is due within 30 days of invoice date unless otherwise specified in the contract
- Late payments may result in service suspension after appropriate notice
- All fees are exclusive of applicable taxes, which will be added to invoices as required by law
8. Limitation of Liability
Important: Please read this section carefully as it limits our liability to you.
To the maximum extent permitted by applicable law, FlexiEle shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business opportunities, or goodwill
- Damages resulting from unauthorized access to your data due to Client's failure to maintain security
- Service interruptions due to circumstances beyond our reasonable control
In no event shall FlexiEle's total liability exceed the amount paid by the Client for the Services during the twelve (12) months preceding the claim.
9. Termination
Either party may terminate the service agreement:
By Client
- With 30 days written notice
- At the end of subscription period
- For material breach by FlexiEle
By FlexiEle
- For non-payment after notice period
- For violation of these terms
- For illegal use of the Platform
Upon termination, FlexiEle will provide data export assistance for a period of 30 days. After this period, all Client data will be securely deleted from our systems.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.
11. Changes to Terms
FlexiEle reserves the right to modify these Terms of Service at any time. Material changes will be communicated to Clients via email at least 30 days before they take effect. Continued use of the Platform after such modifications constitutes acceptance of the updated terms.
